Affiliate Programme Agreement

PLEASE READ THIS AFFILIATE PROGRAMME AGREEMENT CAREFULLY.
This document constitutes a contractual agreement between you (referred to as the “Affiliate”) and us (“UK Doors Online”). It outlines the collaborative framework and various aspects of our business association. Although this is a legal document, we have endeavoured to use language that is as comprehensible as possible.
The terms outlined in this Affiliate Programme Agreement are applicable to your involvement in our Affiliate Programme (referred to as the “Affiliate Programme”). These terms are of utmost significance, and your participation in our Affiliate Programme is contingent upon your acceptance of them.
We periodically revise these terms, and in certain instances, we may entirely replace them—such as when there are modifications to the Affiliate Programme, its cessation, or its integration into an existing Programme. If there are updates or replacements to the terms, we may notify you through electronic means, which may include direct messages via social media or via email. Should you disagree with the updated or replaced terms, you have the option to terminate the agreement, as detailed below.
Definitions:
“UK Doors Online Affiliate” refers to a company owned, operated, or controlled by UK Doors Online.
“Affiliate Code” refers to the unique code assigned to the Affiliate upon commencing the Affiliate Programme.
“Affiliate Programme” denotes our described affiliate initiative in this Agreement.
“Affiliate Policies” are guidelines for affiliates, periodically provided by us.
“Affiliate Programme Information Pack” refers to the document you will be provided with upon commencing the Affiliate Programme.
“Agreement” includes this Affiliate Programme Agreement and associated materials.
“Commission” is the amount specified in this Agreement for each Customer Transaction.
“Customer” is the authorised user who purchases UK Doors Online Products after being an Affiliate Lead.
“Customer Transactions” are eligible transactions by Customers for Commission.
“Customer Data” encompasses information submitted or collected via UK Doors Online Products.
“UK Doors Online Content” includes all data integrated into our services.
“Unique Affiliate Code” refers to the unique code assigned to the Affiliate upon commencing the Affiliate Programme.
“Other Products” are services not in the Subscription Service, including marketing software, legacy products, and professional services.
“Subscription Service” refers to our web-based sales software, excluding legacy products, professional services, and third-party fees.
“Participating Products” refers to the specific products offered by UK Doors Online that are eligible for commissions within the Affiliate Programme.
“We,” “us,” “our,” and “UK Doors Online” pertain to UK Doors Online Ltd.
“You” and “Affiliate” refer to the party, excluding UK Doors Online, participating in this Agreement.
Non-Exclusivity: This Agreement does not establish exclusivity between you and us, allowing both parties to recommend similar products and collaborate with other entities in the design, sale, installation, implementation, and use of comparable third-party services and products.
Affiliate Acceptance: Upon applying to become an Affiliate, we will assess it and notify you of your acceptance or rejection. Before acceptance, we may request additional information and may require certain prerequisites or certifications. If we do not inform you of acceptance within 30 days, your application is considered rejected. Upon acceptance, this Agreement becomes effective and remains so until termination, subject to the terms below.
Affiliate Programme Participation: Being an Affiliate does not guarantee acceptance into our Partner Programmes or Influencer Programmes. Compliance with this Agreement and applicable Programme Policies is mandatory.
Customer Transactions:
Affiliate Discount: Your Unique Affiliate Code entitles the Affiliate Lead to claim £50 off their entire order of Participating Products. The discount only applies to the first order, and each Customer is only entitled to one use. The maximum amount that one Customer can claim using your Unique Affiliate Code is £50.
Affiliate Programme Limits: Commission is paid for eligible Customer Transactions where the customer explicitly references your Unique Affiliate Code in their product order. Your Unique Affiliate Code can be found in your Affiliate Programme Information Pack or by asking your contact at UK Doors Online. Commissions will only paid out for Participating Products as stated below. No Commission is given for subsequent purchases by the same Customer. No Commission is given retrospectively for past orders, or for orders that do not comply with the Affiliate Programme agreement.
Participating Products: Participating products that are eligible for commission include: aluminium bifold doors, aluminium French doors, aluminium single doors, aluminium sliding patio doors, aluminium windows (encompassing all styles and models offered by UK Doors Online), composite doors, uPVC doors, uPVC French doors, uPVC windows (encompassing all styles and models offered by UK Doors Online), roof lights and roof lanterns. UK Doors Online reserve the right to change or remove participating products at any time without prior notice.
Eligibility: Commission eligibility requires an accepted Affiliate Lead, completed Customer Transaction, and Customer remaining during the locking period. Commission is not applicable for Other Products or if disallowed by law, objected to by the Customer, obtained fraudulently, or part of another UK Doors Online Programme.
Acceptance and Validity: Valid Affiliate Leads must be new potential customers, not pre-existing customers or part of active sales processes. Engagement with Prospects is at our discretion.
Commission and Payment: To receive payment, you must agree to this Agreement, provide a valid payment method, and submit necessary tax documentation. Payment amount depends upon the eligible Participating Product type that has been purchased by the Customer. Commission information can be found in your Affiliate Programme Information Pack.
Requirements for Payment; Forfeiture: Failure to meet requirements for six months post-Customer Transaction results in forfeiture of Commission for that transaction. Compliance restores eligibility.
Commission Payment: UK Doors Online will determine the currency and conversion rate for Commission payment. Only one Commission per Customer Transaction is paid, and you are responsible for applicable taxes and fees. Commission amounts are subject to change.
Training and Support:
We may provide complimentary training and resources as part of the Affiliate Programme. If available, you should encourage your personnel to partake in recommended training and certifications. We reserve the right to modify or terminate any part of the Affiliate Programme benefits without notice.
Trademarks: You grant us a nonexclusive, nontransferable, royalty-free right to use your trademarks in connection with the Affiliate Programme. During the Agreement term, use our trademark following specified guidelines. Do not use it misleadingly, implying endorsement, or in violation of laws.
Proprietary Rights:
UK Doors Online’s Proprietary Rights: No software license is granted. UK Doors Online Products are protected by intellectual property laws, and ownership remains with us or licensors. Do not copy, rent, sell, or create derivative works without written authorisation. Our trademarks are ours, not for use without prior written permission.
Customer’s Proprietary Rights: Customer retains rights to access Customer Data.
Confidentiality: “Confidential Information” includes disclosed information designated as confidential. Receiving Party must protect, not use for other purposes, and not disclose Confidential Information to third parties. Confidential Information may be disclosed if required by law.
Opt Out and Unsubscribing: Promptly comply with opt-out, unsubscribe, “do not call,” and “do not send” requests. Establish and maintain systems for the duration of this Agreement to effectuate these requests.
Term and Termination:
Term: This Agreement applies if you participate in the Affiliate Programme.
Termination Without Cause: Affiliates can terminate this Agreement with 14 days’ written notice for any reason. UK Doors Online reserve the right to terminate the Affiliate Programme at any time, with immediate effect and without warning, for any reason.
Termination for Agreement Changes: Terminate within 5 days of receiving notice of updated terms.
Termination for Cause: We may terminate for various reasons, including material breach or non-payment.
Effects of Expiration/Termination: Commission payment eligibility will cease synonymously with termination. Upon termination, discontinue use our trademark. Upon termination, cease all use of our trademark and references to the Affiliate Programme. Affiliate Representations and Warranties: You warrant: (i) rights and permissions to participate in the Affiliate Programme, (ii) non-conflict with existing agreements, (iii) ownership or sufficient rights to use and grant us the right to use Affiliate Marks. You further warrant compliance with trade or regulatory requirements, no competing ads, no deceptive practices, and ethical lead generation.
Indemnification: You will indemnify and defend us against third-party claims arising from (a) your participation in the Affiliate Programme, (b) our use of prospect data you provided, (c) your noncompliance with this Agreement, or (d) our use of Affiliate Marks. You shall not accept settlements imposing obligations, admissions, or liabilities beyond this Agreement without our written consent.
Disclaimers; Limitations of Liability:
Disclaimer of Warranties: No representations or warranties are made regarding the suitability, reliability, or accuracy of UK Doors Online Products or Affiliate Programme. They are provided “as is” without warranty.
No Indirect Damages: Neither party is liable for indirect, punitive, or consequential damages, including lost profits.
Limitation of Liability: If liable, our aggregate liability is limited to total Commission amounts earned for related Customer Transactions in the preceding twelve months.
Affiliate Programme Policy
Commission:
Commission Rate: Commissions will be paid in line with eligible Customer Transactions where the Unique Affiliate Code has been referenced during purchase, and only with participating products. Commissions will be paid at a flat rate for Participating Products, the details of which can be found in your Affiliate Programme Information Pack. Commission rates can be changed at any time by UK Doors Online at their own discretion and without prior notice. UK Doors Online may provide limited time offers whereby Affiliates can claim more commission from Participating Products, and/or offer increased discounts to Affiliate Leads. UK Doors Online will agree limited time offers with Affiliates directly.
Limitations: a. For purchase commissions, you earn commission for the first purchase by a new customer whereby the Customer has quoted your Unique Affiliate Code during the order process. b. Customers must purchase a Participating Product for their purchase to be eligible for Commissions. c. Fraudulent attribution is non-payable; proof of valid referrals may be required. d. If purchases are refunded or cancelled for any reason within six months, the Affiliate will be liable to return any Commissions paid for that order.
Upgrades/Downgrades: No additional commission for customer upgrades; receive commission for downgrades.
Attribution: The first order by a unique Customer will be eligible for Commission at the appropriate rate as outlined in this Agreement and the Affiliate Programme Information Pack. All products purchased within the same order will be eligible for Commission provided they are Participating Products.
Promoting UK Doors Online:
UK Doors Online Branding: Do: Capitalise the “UK”, “D” and “O” in “UK Doors Online.” Follow vendor kit, Trademark Usage Guidelines, and Content Usage Guidelines. Do Not: Use false or misleading statements. Do not modify the UK Doors Online wordmark or logo.
What to Call Yourself: Do: Identify as a “UK Doors Online Affiliate” or “Affiliate Marketer.” Do Not: Refer to yourself as a Partner. This applies to press releases, videos, website listings, or other marketing materials.
Buying Ads: Avoid ads competing with UK Doors Online; direct ads to your website, not UK Doors Online.com or a standalone landing page.
Imagery and promotional material: UK Doors Online may provide Affiliates with promotional materials and imagery. Affiliates are allowed to share promotional materials for the purpose of promoting UK Doors Online and their products. Promotional material must not be used for any reason other than positive promotion and access to the materials will cease upon termination of this Agreement. UK Doors Online will not be responsible for any misinformation shared by the Affiliate to Affiliate Leads or Customers. It is the responsibility of the Affiliate to ensure any information shared is correct, using resources provided from UK Doors Online and the UK Doors Online website to fact-check information prior to sharing.
Policies:
Survey Participation: Encouraged participation in affiliate-specific surveys.
Sharing Placements: The Affiliate is responsible for sharing their Unique Affiliate Code with Affiliate Leads and Customers. Affiliates can share their Unique Code on their own social media platforms. Affiliates must not share their Unique Code publicly outside of social media; on discount code websites, in press, or in any other way that could deemed to be in breach of this agreement. Sharing placements must always be compliant with this Agreement, the Affiliate Programme Information Pack and the law.
Purchasing UK Doors Online: Not mandatory, but if purchased, do not use your own Unique Affiliate Code.
FTC Disclosure: Must disclose commission information before the Unique Affiliation Code in compliance with FTC regulations and the UK Office of Fair Trading.
General:
Amendment; No Waiver: We may update this Agreement, effective the next business day after notification. No delay constitutes a waiver, and no waiver affects future rights.
Applicable Law: This Agreement is governed by UK law and jurisdiction.
Force Majeure: Neither party is responsible for failure or delay due to uncontrollable events.
Actions Permitted: Actions related to this Agreement must be initiated within one year.
Relationship of the Parties: No joint venture, partnership, employment, or agency relationship exists between the parties.
Compliance with Applicable Laws: Comply with all laws, including export laws and regulations. Abide by sanctions Programmes and refrain from deceptive marketing activities.
Severability: If any part is deemed invalid, it will be replaced by a valid provision reflecting the original intent.
Notices: Notice is deemed delivered upon actual receipt at the provided contact addresses.
Entire Agreement: This Agreement supersedes all other agreements and proposals. Additional terms proposed by you are rejected. Versions in languages other than English are provided for convenience and do not modify the English version.
Assignment: Assignment requires our prior written consent.
No Third Party Beneficiaries: No person or entity, other than the parties, gains rights under this Agreement.
Programme Policies: Participation is subject to the Programme Policies, available on the ‘Programme Policies’ section above.
No Licenses: Only rights expressly stated are granted.
Sales by UK Doors Online: This Agreement does not limit our right to sell UK Doors Online Products.
Authority: Each party represents it has the authority to enter and enforce this Agreement.
Survival: Certain sections, including ‘Commission and Payment’ and ‘Indemnification,’ survive expiration or termination.
Data Processing and Protection: The parties agree to the terms outlined in this agreement with regards to data sharing and agree to agree act within the UK law at all times.
